Terms of Service

By accessing or using PM Perfect ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms.

PM Perfect is a product management platform that helps teams synchronize work between different tools. Our Service includes:

• Integration with third-party services (Azure DevOps, Aha!, Slack)
• Two-way synchronization of work items and features
• Dashboard and briefing views for product managers
• Priority mapping and custom field synchronization
• Feature creation from Slack conversations

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms.

You are responsible for:

• Safeguarding the password that you use to access the Service
• Any activities or actions under your account
• Notifying us immediately of any unauthorized access or use of your account
• Ensuring that your account information remains accurate and up-to-date

You may not use as a username the name of another person or entity that is not lawfully available for use, or a name or trademark that is subject to any rights of another person or entity without appropriate authorization.

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Transmit any harmful code, viruses, or malicious software
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the integrity or performance of the Service
• Collect or harvest any information from the Service without authorization
• Use the Service for any illegal or unauthorized purpose
• Resell or redistribute the Service without our prior written consent

We reserve the right to terminate or suspend your account immediately, without prior notice or liability, for any breach of these Terms.

The Service integrates with third-party services including Azure DevOps, Aha!, and Slack. Your use of these integrations is subject to the following:

• You must have valid accounts and appropriate permissions with the third-party services you wish to connect
• You are responsible for complying with the terms of service of each third-party service
• We are not responsible for the availability, accuracy, or content of third-party services
• Third-party services may change their APIs or terms, which could affect the functionality of our Service

By connecting third-party services, you authorize PM Perfect to access and sync data on your behalf in accordance with our Privacy Policy.

The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of PM Perfect and its licensors.

The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

You retain ownership of any data you provide to the Service. By using the Service, you grant us a limited license to use, store, and process your data solely for the purpose of providing the Service to you.

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without any warranties of any kind, either express or implied, including but not limited to:

• Implied warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Availability, accuracy, reliability, or completeness of the Service

We do not warrant that the Service will function uninterrupted, secure, or available at any particular time or location, or that any errors or defects will be corrected.

To the maximum extent permitted by applicable law, in no event shall PM Perfect, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation:

• Loss of profits, data, use, goodwill, or other intangible losses
• Damages resulting from unauthorized access to or alteration of your data
• Damages resulting from any interruption or cessation of the Service
• Damages resulting from third-party services or content

Our total liability for any claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid us, if any, in the twelve (12) months prior to the claim.

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or delete your account through the account settings.

All provisions of the Terms which by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.

What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
